Terms of Service
1. Acceptance of these Terms
These Terms of Service ("Terms") form a binding agreement between you and Morabeza LLC ("Morabeza," "we," "our," or "us") and govern your access to and use of www.morabezacannabis.com (the "Site"), our waitlist, and any other features, services, or content we make available through the Site (together with the Site, the "Services"). By using the Services or submitting your email to the waitlist, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
2. Eligibility and age requirement
The Services are intended exclusively for individuals who are at least 21 years of age. By using the Services you represent and warrant that you are at least 21, that you have the legal capacity to enter into these Terms, and that your use of the Services does not violate any law applicable to you. We may, at any time and for any reason, refuse to provide the Services to anyone.
Any future cannabis delivery will require valid government-issued photo identification at the door. We will not complete a delivery to anyone who cannot or will not produce ID confirming they are 21 or older. No exceptions.
3. The Services today
Today the Site is a pre-launch marketing site that (a) introduces Morabeza and our planned cannabis delivery service, (b) lets you join our waitlist for launch updates, and (c) provides information about our service areas and process. The Site does not sell or deliver cannabis. Joining the waitlist does not create an order, a reservation, or a binding commitment by either party. When we launch, ordering and delivery will be available through our separate, licensed delivery channels (powered by Sweed), under additional terms that will apply to those transactions.
4. Geographic and jurisdictional restrictions
Cannabis is regulated at the federal, state, and municipal level. Morabeza operates under the laws of the Commonwealth of Massachusetts and under the rules of the Massachusetts Cannabis Control Commission ("CCC"). When we launch, deliveries will be made only:
- Within the Commonwealth of Massachusetts;
- Within the specific cities and towns listed under Service Areas on the Site (subject to change);
- Only when both Massachusetts state law and the relevant municipal cannabis ordinance permit it.
You agree not to attempt to purchase, transport, or use cannabis from Morabeza outside Massachusetts, or in any jurisdiction where doing so would violate the law applicable to you. Cannabis may not be transported across state lines. You are responsible for understanding the law of the jurisdiction in which you receive any cannabis product.
5. Compliance with cannabis law
Morabeza operates under provisional CCC license MDA1333 (subject to change as our license progresses to final). We comply with all CCC regulations applicable to delivery operators, including those concerning licensing, age verification, transportation, security, packaging, labeling, marketing, and reporting. You agree not to use the Services in a way that would cause Morabeza to violate any such regulation.
6. Waitlist registration and communications consent
When you submit your email through the waitlist form, you (a) confirm the email address is yours or that you have authority to provide it, and (b) consent to receive electronic communications from Morabeza about our launch, service areas, and related updates. You may unsubscribe at any time using the link in any email we send, or by emailing info@morabezacannabis.com with the subject line "Unsubscribe." Unsubscribing will not affect the validity of communications sent before we process your request.
7. User conduct and prohibited uses
You agree not to:
- Use the Services if you are under 21 years of age;
- Use the Services on behalf of, or to provide cannabis to, anyone under 21;
- Submit a false, misleading, or third-party email address without authorization, or otherwise impersonate any person or entity;
- Use any robot, scraper, or other automated means to access the Services except for legitimate search-engine indexing;
- Probe, scan, or test the vulnerability of any system or network, or breach or circumvent any security or authentication measure;
- Access, tamper with, or use non-public areas of the Services or our infrastructure;
- Interfere with or disrupt the integrity or performance of the Services or the data they contain;
- Reverse engineer, decompile, or otherwise attempt to derive the source code of the Services, except to the extent applicable law expressly prohibits this restriction;
- Use the Services to send unsolicited bulk messages or to harvest contact information;
- Use the Services for any unlawful purpose or in violation of any applicable law or regulation, including any federal, state, or local cannabis law;
- Use the Site or the Morabeza brand, logo, or marks in any way that could damage Morabeza's reputation or imply a false affiliation.
We may suspend or terminate your access to the Services at any time and for any reason, including for violations of these Terms.
8. Intellectual property
The Morabeza name, the "morabeza" mark, the M-in-capsule logo, the wordmark, the "Naturally Delivering the High Life" tagline, the Site's design, layout, text, photographs, illustrations, graphics, audio, video, and the underlying code are owned by Morabeza LLC or its licensors and are protected by United States and international intellectual-property laws. Except as expressly permitted by these Terms, you may not reproduce, modify, distribute, publicly display, publicly perform, transmit, prepare derivative works of, or otherwise exploit any of the foregoing without our prior written consent.
We grant you a personal, limited, non-exclusive, non-transferable, revocable license to access and use the Services for your own non-commercial use, subject to these Terms. All rights not expressly granted are reserved.
9. Feedback
If you send us suggestions, comments, or other feedback about the Services ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, modify, and incorporate that Feedback into our products and services without any obligation to compensate you.
10. Third-party services and links
The Services may link to third-party sites, services, or resources (for example, the Sweed ordering platform once it launches, or third-party social-media pages). Those third parties have their own terms and privacy practices. Morabeza is not responsible for the content, terms, or practices of any third party, and including a link does not imply endorsement. Your interactions with any third party are solely between you and that third party.
11. No medical or legal advice
Content on the Site is for general informational purposes only and is not medical, legal, or professional advice. Cannabis affects different people differently, and what is appropriate for one person may not be appropriate for another. Consult a qualified medical professional before using cannabis, particularly if you are pregnant or breastfeeding, are taking other medications, or have a medical condition.
12. Disclaimer of warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING (TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW) WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. MORABEZA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY CONTENT IS ACCURATE OR RELIABLE.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MORABEZA, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF MORABEZA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED ONE HUNDRED DOLLARS (US$100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so some or all of these limitations may not apply to you.
14. Indemnification
You will defend, indemnify, and hold harmless Morabeza, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Services in violation of these Terms or applicable law, (b) your violation of any third-party right, including any intellectual-property or privacy right, or (c) any content you submit to us. Morabeza will control the defense of any matter for which it is indemnified, and you will cooperate in our defense.
15. Suspension and termination
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms. You may stop using the Services at any time. Sections 8 (Intellectual property), 9 (Feedback), 11 (Medical/Legal disclaimer), 12 (Warranty disclaimer), 13 (Limitation of liability), 14 (Indemnification), 17 (Governing law), 18 (Dispute resolution), and 20 (General) will survive termination.
16. Changes to the Services and to these Terms
We may modify the Services at any time, with or without notice. We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. For material changes, we will provide additional notice (for example, an email to the launch list or a banner on the Site) at least 14 days before the change takes effect. Your continued use of the Services after a change becomes effective constitutes acceptance of the updated Terms.
17. Governing law and venue
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws principles. Subject to Section 18, any action arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Worcester County, Massachusetts, and you consent to the personal jurisdiction of those courts.
18. Dispute resolution
Before filing any claim against Morabeza, you agree to first attempt to resolve the dispute informally by contacting info@morabezacannabis.com with a written description of the dispute and the relief sought. We will work in good faith to resolve the matter within 30 days. If we cannot resolve it informally, either party may bring an action in the courts identified in Section 17.
This Site uses the courts of Worcester County, Massachusetts. Whether to add a binding arbitration provision or class-action waiver is a business and legal decision Morabeza's counsel should make before launch.
19. Force majeure
Morabeza will not be liable for any failure or delay in performing under these Terms caused by events outside our reasonable control, including acts of God, natural disasters, war, terrorism, riots, civil unrest, government action (including changes to cannabis law), labor conditions, internet or utility outages, fire, or epidemics.
20. General
- Entire agreement, these Terms and our Privacy Policy are the entire agreement between you and Morabeza regarding the Services and supersede all prior agreements on the subject.
- Severability, if any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
- No waiver, our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment, you may not assign these Terms without our prior written consent. We may assign these Terms to any successor or affiliate without notice.
- Notices, we may send notices to the email address you provided through the waitlist, or by posting a notice on the Site. You may send notices to info@morabezacannabis.com or by mail to the address below.
- Relationship, these Terms do not create any agency, partnership, joint venture, or employment relationship.
- Electronic communications, you consent to receive communications from us electronically, and agree that those electronic communications satisfy any legal requirement that the communication be in writing.
